1. Who we are & acceptance

Kerux (the “Service”) is operated by Mažoji bendrija IRIR.LT (MB IRIR.LT), a company registered in the Republic of Lithuania under company code 302918106, with its registered office at Bazilijonų g. 6-17, Vilnius, Lithuania (“we”, “us”, “Kerux”). By using the Service, creating an account, or requesting a sign-in code, you agree to these Terms. If you do not agree, do not use the Service. These Terms are provided in English, which is the governing version.

2. The Service

Kerux turns event lists into shareable, QR-scannable calendar landing pages with one-tap calendar subscription (ICS feeds). We offer a free tier and paid Premium subscriptions. We may add, change, or remove features at any time.

3. Eligibility & accounts

You must be at least 16 years old to use the Service. Sign-in is passwordless: we email you a one-time code, so you are responsible for maintaining access to, and the security of, your email inbox. You are responsible for all activity under your account.

4. Your content

You retain ownership of the calendars, events, and other content you create (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and display Your Content solely to operate the Service — including publishing it on public calendar pages and distributing it via ICS feeds and QR codes, which are public by design.

You are solely responsible for Your Content. Kerux is a neutral hosting platform and does not create, monitor, endorse, or accept liability for user-generated content. You represent that you have the rights to publish Your Content and that it does not infringe any third-party rights or applicable law.

5. Acceptable use

You agree not to use the Service to:

• publish unlawful, infringing, deceptive, or harmful content, or content that violates others’ rights or privacy;
• send spam or distribute malware via calendar pages or feeds;
• abuse, overload, reverse-engineer, or attempt to gain unauthorised access to the Service or its infrastructure;
• misuse the AI import features to process content you have no right to.

6. Suspension & termination

We may suspend, restrict, or terminate your account or access to the Service at any time, without prior notice, where we reasonably believe you have breached these Terms or applicable law, or to protect the Service, other users, or third parties. Where we terminate an account for such breach, or where you cancel, we do not provide refunds for amounts already paid. Nothing in this section limits your mandatory rights as a consumer under applicable law.

7. Payments, subscriptions & refunds

Premium is a recurring subscription billed in advance through our payment processor, Stripe. Subscriptions renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you keep Premium until then. Prices are shown at checkout and may change with reasonable notice for future billing periods.

Refunds: except as required by mandatory law, fees are non-refundable, including where you cancel or where we terminate your account for breach. However, if we voluntarily discontinue the Service (or a paid feature you rely on) during a period you have already paid for, we will provide a pro-rata refund of the unused portion of that period.

Digital content / right of withdrawal: because access to Premium is provided immediately, by purchasing you request that we begin providing the Service at once and acknowledge that you lose the 14-day right of withdrawal for digital services once performance has begun, to the extent permitted by law.

8. Changes to the Service

We may modify, suspend, or discontinue the Service, or any part of it, at any time. Where a material change adversely affects a paid feature, we will make reasonable efforts to notify active subscribers by email.

9. AI features

The “add events by voice” and “add events from photo” features send your input to a third-party AI provider (Anthropic) for processing. AI output may be inaccurate or incomplete; you are responsible for reviewing imported events before relying on them. See our Privacy Policy for how this data is handled.

10. Disclaimer of warranties

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, non-infringement, or uninterrupted or error-free operation. We do not warrant that calendar feeds will sync with, or be supported by, every third-party calendar application.

11. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to the Service is limited to providing the platform and, in aggregate, to the amount you paid us in the twelve (12) months before the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, or for loss of data, profits, or goodwill. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including for gross negligence, wilful misconduct, or your mandatory statutory consumer rights.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, make reasonable efforts to notify you. Your continued use of the Service after changes take effect constitutes acceptance.

13. Governing law & jurisdiction

These Terms and any dispute arising out of or in connection with them are governed by the laws of the Republic of Lithuania and applicable European Union law. The courts of Lithuania (Vilnius) have exclusive jurisdiction, save that if you are a consumer resident in the EU you also benefit from any mandatory protections and courts of your country of residence. The EU Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr.
